General Terms & Conditions of Sale
1.    Scope of Application
 
1.1 Verdedorato.ch is the online store of the company Verde Dorato sàrl, a Swiss company registered in CH-1297 Founex / VD. Commercial registry reference is IDE/UID: CHE-418.780.256.
 
1.2 The offer for sale of the products listed on the verdedorato.ch website is limited to the territories of Switzerland and Liechtenstein.
 
1.3 These General Terms and Conditions of Sale (hereinafter GTC) are available at any time on verdedorato.ch and are thus considered to be brought to the knowledge of each customer before any orders are taken. Only the English version of the GTC is applicable and contractually binding. The translations of the GTC published on verdedorato.ch are merely made available for convenience. The GTC may be amended at any time without prior notice. The only applicable GTC shall be the latest version as published in English on verdedorato.ch, unless an order has been placed under an earlier version. Therefore, any order implies the unconditional acceptance by the customer of the GTC, which applies to all services and products of Verde Dorato sàrl. No special conditions or other general conditions emanating from the customer are opposable to Verde Dorato sàrl nor can they prevail on the present GTC, except express written agreement of Verde Dorato sàrl. The fact that Verde Dorato sàrl does not expressly take advantage at a given time of one or the other of the provisions of the present GCS, cannot be interpreted as being worth renunciation to take advantage of it later.

2.    Registration on verdedorato.ch and ordering products
 
2.1 Registration in the verdedorato.ch online store is only possible for persons who are legally capable according to Swiss law. Registration is free of charge. Registration does not entitle the user to access the online store as such. The customer data required for registration must be complete and true. Each customer shall be responsible for updating his or her own data.
 
2.2 Verde Dorato sàrl shall be entitled to send information on new products and special promotions to the e-mail address provided by the customer during registration. The customer may unsubscribe at any time by sending an unsubscribed email request to contact@verdedorato.ch.
 
2.3 Orders must be placed via the verdedorato.ch website at the latest 5 working days before the desired delivery date if a fixed delivery date is required. Each order is subject to acceptance by Verde Dorato sàrl and will be confirmed by e-mail. The confirmation of the order is a sales contract between the customer and Verde Dorato sàrl. Verde Dorato sàrl reserves the right to reject any order or to postpone delivery due to insufficient stock, incomplete customer information, or for any other reason. Verde Dorato sàrl will endeavor to inform each customer of the follow-up within 5 business days in case of problems in fulfilling an order. The objective of Verde Dorato sàrl is of course to make every effort to deliver the required products and quantities with the highest quality. The quantity and the designation of the products actually delivered appear on the order confirmation email and on the shipping confirmation email. In case of missing items or reduced quantities, Verde Dorato sàrl declines any responsibility and the customer can claim neither compensation nor damages. If an invoiced item cannot be delivered, the corresponding amount will be refunded to the customer, unless a later delivery is agreed.
 
2.4 When ordering products, the customer undertakes to fill in the order form available on the site verdedorato.ch accurately and in good faith and truthfully fill in the various existing sections (customer's address, delivery address, method of payment chosen, ...). By placing an order, the customer confirms the accuracy of all the data he has provided. 
 
2.5 In the event of incorrect information regarding the data provided by the customer or in the event of fraud regarding the accuracy of the data, the customer will be held responsible and will have to assume the civil and/or penal consequences that may result from this.
 
2.6 The 14-day right of revocation in accordance with Article 40 e paragraph 2 of the Swiss Code of Obligations does not apply to contracts of less than CHF 100.00 or to the supply of perishable food products, such as pistachio products. Therefore, the customer cannot avail himself of this provision. A modification or cancellation on his part can nevertheless be taken into consideration before shipment and only insofar as the package is still being prepared. In this case, the price will be refunded, less a penalty for administrative and management costs of CHF 15. On the other hand, as soon as the parcel is handed over to the carrier, no modification or cancellation can be taken into account and the price paid will not be refunded.

3.    Prices and payment of the order
 
3.1 All prices indicated on the order form are in Swiss francs (CHF) including VAT if applicable. The Swiss VAT shall apply at the applicable rate to all orders as from the date of registration of Verde Dorato sàrl with the Swiss tax authorities for VAT purposes. The prices in force are those displayed on the verdedorato.ch website at the time of the order. Verde Dorato sàrl reserves the right to change the selling price of its products without prior notice at any time.
 
3.2 Several payment methods are available. To be registered, the order must be paid in full. Unpaid orders cannot be delivered. The order will be processed once payment has been received. The customer can choose his payment method at the time of the order. Some payment methods may have additional conditions.

3.2.1 Payment by credit card, Paypal or TWINT.
 
This is the fastest, safest and most convenient method of payment and is highly recommended. The currency used for the transaction is the Swiss Franc (CHF). The payment is made online by Visa, Mastercard,  Paypal, TWINT or any other payment method made available on verdedorato.ch. That is why no discount conditions or late payment penalties are applied. In addition, no additional costs are charged.
 
3.2.2 Payments by bank transfer, postal ISR and QR code slips
 
Payment by bank transfer in Swiss Francs (CHF) or QR code slips is exceptionally possible, in the case of large orders. It is subject to the express agreement of the management of Verde Dorato sàrl to be agreed upon on a case by case basis. Verde Dorato sàrl is under no obligation to ship any product prior to receipt of payment in full. The postal payment by ISR is not possible.

4.    Labeling of Products
 
4.1 The product descriptions published in the online store verdedorato.ch are updated regularly and with great care. In exceptional cases, these descriptions may not correspond to the information on the product packaging. In the event of a discrepancy between the description and the packaging, the packaging shall prevail. 
 
4.2 As changes in formulations can occur at any time, customers are advised to consult the list of ingredients on the packaging regularly.

5.    Delivery of the products
 
5.1 Product packaging shall be prepared by Verde Dorato sàrl's partners and shipped by Verde Dorato sàrl to its customers in closed, strong packaging, suitable for the contents and the requirements of transport. 
 
5.2 In the event of an error in the details of the recipient of the delivery, Verde Dorato sàrl shall not be held responsible for the impossibility of delivery to the recipient. The rerouting of the package to another recipient or to a new delivery address will be charged to the customer in addition, depending on the destination and the weight of the order. 
 
ATTENTION: Orders indicating a P.O. Box address cannot be taken into account.
 
5.3 After acceptance of the order, Verde Dorato sàrl undertakes to process and route the order to the indicated destination, according to the route, procedure and carrier chosen by Verde Dorato sàrl. Verde Dorato sàrl ensures the goods until the place of delivery, then it is the responsibility of the recipient to check the package in the presence of the deliveryman. Any anomaly at the time of the delivery will have to be immediately announced by email to contact@verdedorato.ch. Without the respect of this clause, no procedure of refunding with the selected carrier could be started in which case Verde Dorato sàrl declines any responsibility.
 
5.4 In case of absence of the addressee or of a person who can take possession of the products at the time of delivery, the carrier will be able to leave the package in the mailbox or with a neighbor, or even leave it in front of the door or in a side compartment, or leave a notice of passage at the delivery address indicated by the customer with an invitation to collect the products. Verde Dorato sàrl shall not be liable for any damage to or theft of the products due to the absence of the recipient at the time of delivery or in case of late collection from the carrier.
 
5.5 Verde Dorato sàrl can not be held responsible if the product has not been delivered for the following reasons: force majeure, including but not limited to natural disasters, impossibility of delivery due to pandemic or strike of carriers or the post office.

5.6 Delivery times typically depend on the day of the week and the time of the year. For information purposes only and without any guarantee or liability on the part of Verde Dorato sàrl in case of longer actual delivery times, the expected delivery times are as follows for working days

5.7 The transfer of ownership of the Products to the Customer shall not take effect until the Customer has paid the full price.
 
5.8 Verde Dorato sàrl assumes the risks of loss and deterioration of the products until their remittance to the postal delivery services.

6.    Complaints
 
6.1 The customer service of Verde Dorato sàrl is at the disposal of the customers at contcact@verdedorato.ch for any information and will assist in case of problems or complaints concerning the delivered products. 
 
6.2 Any defects found must be reported within 3 days after receipt of the goods to the Verde Dorato customer service by email, or by using the form located in the "Contact" section.  If the customer fails to do so, or after this period has elapsed, the goods shall be deemed to be free of defects and accepted by the customer. 
 
6.3 Any return of product must be formally agreed between Verde Dorato sàrl and the customer and must be returned within 3 days of the agreement. After this period, no return can be taken into account.
 
6.4 Verde Dorato sàrl reserves the right to request evidence to prove the allegations motivating a claim as well as evidence of any alleged damage (photo of the package received ...). After analysis and possible acceptance of the merits of a claim by Verde Dorato sàrl, the customer will be able to choose between the refund of his order or a new delivery of his order. 
 
6.5 In case of damage suffered by a customer, the responsibility of Verde Dorato sàrl is in any case limited to the amount of the order causing the damage, excluding any other compensation or damages. Verde Dorato sàrl declines all responsibility for any further damage that a customer may suffer as a result of ordering products sold by Verde Dorato sàrl except in cases of fraud or gross negligence.

7.    Electronic Communication
 
7.1 Given the current state of technology and the Internet network, data exchange via the Internet or e-mail cannot be guaranteed to be free of errors, viruses, third-party hacking or server failures, which are possible at any time. Verde Dorato sàrl therefore cannot guarantee a permanent and uninterrupted availability of the online service and disclaims any liability for technical or computer errors, including third-party hacking occurring during a sale or for possible delays in the processing or receipt of orders.
 
7.2 Verde Dorato sàrl is not responsible for any damage that may result for a customer in case of computer viruses or third-party hacking in the context of e-mail exchanges with Verde Dorato sàrl or in the context of his navigation on the verdedorato.ch website.

8.    Data Protection
 
8.1 The data collected by Verde Dorato sàrl is treated confidentially and in good faith. It will not be sold or made accessible to third parties, except for any legal obligations to report to an authority.
 
8.2 At the time of the first contact, your personal data such as name, first name, address, e-mail address and other contact details are collected for the proper conduct of business and for its own marketing purposes. In addition to deliberate data entry, various information from log files (corresponding to activity reports on the servers of Verde Dorato sàrl) is collected automatically when the site is accessed. 
 
8.3 Verde Dorato sàrl distinguishes between basic data (IP address, date and time of access, etc.) and dynamic data (name of the file accessed, click history, etc.). This data can be analyzed anonymously for statistical purposes, for example to determine the number of accesses to the verdedorato.ch portal on a given day.

8.4 All data submitted by a customer (name, search fields, balance inquiry, forms, etc.) may be stored, even if they are not part of a completed transaction (e.g. order). Details of a customer's purchases may be analyzed for marketing or advertising purposes. This analysis is performed for each customer through an automated and anonymized process.
 
8.5 Verde Dorato sàrl only aggregates certain information for its own purposes and thus divides its customers into several target groups to which it sends individualized information about its products and services. 
 
8.6 Verde Dorato sàrl also uses Google Analytics, a web analysis service provided by Google Inc. This service uses cookies to evaluate the use of the verdedorato.ch website and to compile reports on its activity.
 
8.7 Verde Dorato sàrl takes the necessary measures to ensure the confidentiality of its customers' data. However, Verde Dorato sàrl does not accept any responsibility for the security of data transmitted over the Internet, some of which may not be encrypted and may be susceptible to third-party hacking.

9.    Guarantees
 
The expiration date of Verde Dorato sàrl products is indicated on the back of each package. Verde Dorato sàrl guarantees the quality and freshness of its products provided they are kept in a cool and dry place, away from direct light.

10.    Commercial restrictions
 
The customer must not resell the products which are intended for his personal use or that of the person receiving his order.

11.    Applicable law and place of jurisdiction
 
These GTC are subject to Swiss law.
 
Verde Dorato sàrl and the customer acknowledge the exclusive jurisdiction of the courts of canton Vaud, subject to appeal to the Swiss Federal Tribunal.
